USE AGREEMENT

The following terms and conditions (the “Agreement”) govern my use of the restricted area if the website operated by Openings, a limited partnership (“TDO”). By clicking the (I Accept) button I affirm that I am over eighteen (18) years of age and that I agree to be bound by this Agreement with TDO as of the date hereof. NOW, THEREFORE, for good consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

1. I agree that my use of the www.totaldoor.com website (the “Site”) is conditioned upon and subject to this Agreement and any other the Terms of Use found thereupon, as amended from time to time, and I agree to be bound thereby.

2. This Agreement applies to your access and use of this Site and does not alter in any way the terms and conditions of any other agreement you may have with TDO. If you violate or breach this Agreement, your authorization to use this Site automatically terminates immediately. In addition, TDO reserves the right to terminate this Agreement at any time and terminate or suspend your access to and use of the Site or any portion thereof, at any time, with or without cause. Upon termination of this Agreement, you must immediately destroy any downloaded or printed materials and discontinue use of any hyperlinks to this Site. TDO also reserves all of its other rights and remedies under this Agreement or at law.

3. I shall use content found on the Site for personal and non-commercial purposes only, and I further covenant that I shall not use any materials, data, works, videos, functions and information (collectively “Content”) found thereon in connection with the installation, maintenance, repair or removal of any TDO product unless I have received Factory Installer certification from TDO.

4. You shall indemnify, defend and hold TDO, and its officers, directors, employees, affiliates, agents and representatives, harmless from and against any and all causes of action, claims, damages, liabilities losses, costs, fees (including reasonable attorneys' fees), or other expenses that arise directly or indirectly out of or from (a) your breach of this Agreement; or (b) your use of Content on the Site

5. THIS SITE, INCLUDING ALL CONTENT IS PROVIDED “AS IS,” “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TDO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF QUIET ENJOYMENT AND NON-INFRINGEMENT AND IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, DATA ACCURACY, SYSTEM INTEGRATION, AND INFORMATIONAL CONTENT. TDO DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE OPERATION OF THIS SITE, THE USE, VALIDITY, ACCURACY, SECURITY OR RELIABILITY OF, OR THE RESULTS, SUITABILITY OR FUNCTIONALITY OF THE USE OF THE CONTENT ON, OR SERVICES PROVIDED BY, THIS SITE OR ANY OTHER SITES LINKED TO THIS SITE. THE CONTENT OF THIS SITE MAY BE OUT OF DATE, AND TDO MAKES NO COMMITMENT TO UPDATE THE CONTENT ON THIS SITE.

6. IN NO EVENT WILL TDO, ITS SUPPLIERS OR OTHER THIRD PARTIES MENTIONED AT OR IN THIS SITE BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, DAMAGES RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION ARISING OUT OF RELATING TO OR RESULTING FROM THE USE OR INABILITY TO USE THIS SITE, ANY WEB SITES LINKED TO THIS SITE, CONTENT CONTAINED IN ANY OR ALL SUCH SITES, WHETHER BASED ON WARRANTY, CONTRACT, STATUTES, REGULATIONS, TORT (INCLUDING BUT NOT LIMITED TO, NEGLIGENCE) OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT TDO HAS BEEN ADVISED OF THE POSSIBILITY OF, OR SHOULD HAVE ANTICIPATED, SUCH DAMAGES. IF YOUR USE OF THE CONTENT FROM THIS SITE RESULTS IN THE NEED FOR SERVICING, REPAIR OR CORRECTION OF EQUIPMENT OR DATA, YOU ASSUME ALL COSTS THEREOF. IN NO EVENT WILL THE AGGREGATE LIABILITY FOR ANY AND ALL OF YOUR CLAIMS AGAINST TDO ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR ACCESS TO OR USE OF THE SERVICES OR THE SITE OR ANY CONTENT THEREON EXCEED TWO HUNDRED AND FIFTY DOLLARS ($250). CERTAIN STATES OR JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

7. I hereby release and forever discharge TDO and its officers, directors, employees, contractors, agents, representatives, insurers, parents, subsidiaries, suppliers, contractors, attorneys, predecessors, successors and assigns (“TDO Parties”) from all suits, proceedings, claims, causes of action, costs, charges, damages or liabilities of every kind and description whatsoever, whether now known or which may hereafter become known under any theory of liability available to me arising from or related to my use of the Site, including without limitation, any videos thereon (“Released Claims”). I further covenant not to bring, file, serve or authorize any Released Claim, and agree to pay the costs of defense including, without limitation, TDO Parties’ reasonable attorney fees of if any such suit or proceeding is instituted.

8. This Agreement will be governed by the law of the State of Michigan, excluding its choice of law principles, as such law is applied to contracts entered into and entirely performed therein. All litigation arising from or relating to this Agreement will be filed and prosecuted before any court of competent subject matter jurisdiction in the Eastern District of Michigan. The parties hereto consent to the jurisdiction of such courts over them, stipulate to the convenience, efficiency and fairness of proceeding in such courts, and covenant not to allege or assert the inconvenience, inefficiency or unfairness of proceeding in such courts

9. This Agreement may be amended from time to time by TDO, which amendments shall be effective upon posting.

10. This Agreement shall remain in full force and effect so long as I access the TDO Membership Area and for a period of six (6) years thereafter, whereupon it shall expire. I may not terminate or cancel this Agreement for any reason, except with the consent of TDO

11. If any provision of this Agreement will be found by a court to be void, invalid or unenforceable, such provision will be reformed so as to as nearly as possible approximate the original provision and to comply with applicable law, or stricken if not so conformable, so as not to affect the validity or enforceability of this Agreement.
